Terms and Conditions for HANACV2SQL

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING HANACV2SQL.

This Terms and Conditions agreement ("Terms," "Agreement") is a legal contract between you ("User," "you," "your") and HANACV2SQL ("we," "us," "our," "the Tool") governing your access to and use of the HANACV2SQL XML to SQL conversion tool available at [Insert Your Website URL].

By registering for, accessing, or using the Tool, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions outlined herein. If you do not agree to these Terms, you must not access or use HANACV2SQL.

1. Acceptance of Terms

Your use of HANACV2SQL constitutes your acceptance of this Agreement. These Terms apply to all visitors, users, and others who wish to access or use the Tool.

2. Description of Service

HANACV2SQL is a web-based tool that provides users with the ability to upload XML files and convert them into SQL format. The original XML files uploaded by you are processed in real-time and are not stored on our servers after the conversion is complete. The resulting SQL conversion output is stored to provide you with a history of your conversions for later access. The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

3. User Accounts

• Eligibility: You must be at least 18 years of age or the age of majority in your jurisdiction to create an account. By creating an account, you represent and warrant that you meet these eligibility requirements.
• Account Creation: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
• Security: You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
• Account Termination: We reserve the right to refuse service, suspend, or terminate your account at our sole discretion, without prior notice, for conduct we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. User Responsibilities and Acceptable Use

You agree to use HANACV2SQL responsibly and lawfully. You are solely responsible for all content, including XML files, that you upload and process using the Tool ("User Content").

You agree NOT to:

• Upload, transmit, or process any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.
• Upload any User Content that infringes upon any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party.
• Upload any files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of the Tool or another's computer.
• Use the Tool for any illegal purpose, or in violation of any local, state, national, or international law or regulation.
• Use the Tool to process any sensitive personal information (e.g., financial account information, government-issued identifiers, health information) unless you have the legal right to do so. You acknowledge that we are not a compliant data warehouse for regulated data like PHI (Protected Health Information) or PCI (Payment Card Industry) data.
• Attempt to gain unauthorized access to any part of the Tool, other user accounts, or our computer systems or networks.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Tool without our express written permission.

5. Intellectual Property Rights

Our Intellectual Property: All rights, title, and interest in and to the HANACV2SQL Tool (including but not limited to the software, code, algorithms, user interface, and design) are and will remain our exclusive property.

Your Intellectual Property: We claim no intellectual property rights over the User Content you upload to the Tool. You retain all ownership rights to your original XML files and the SQL output generated from them. By uploading User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to use and process that content solely for the real-time purpose of performing the XML to SQL conversion service you request. The XML file is deleted post-conversion. You grant us a separate license to store the resulting SQL output to provide you with a conversion history.

6. Data Handling

XML Files: The XML files you upload are processed transiently for the sole purpose of conversion. These files are not stored or retained on our servers after the conversion job is completed.

Conversion Results: The SQL outputs generated from your conversions are stored in association with your account to provide the conversion history feature. You can access, download, and delete these results from your account dashboard.

7. Payment and Subscription Terms

Fees: Access to HANACV2SQL may be subject to subscription fees as described on our pricing page. All fees are non-refundable except as required by law or as otherwise stated.

Payment Processor: All payments are processed by our parent company, CODESKIT. Your payment and billing relationship for the Tool is governed by CODESKIT's Terms of Service [Insert Link]. You agree to provide CODESKIT with accurate and complete billing information.

Subscription and Renewal: By purchasing a subscription, you authorize CODESKIT to charge your payment method on a recurring basis (e.g., monthly/annual) until you cancel. You can cancel your subscription at any time through your CODESKIT account settings.

8. Disclaimer of Warranties

YOUR USE OF THE TOOL IS AT YOUR SOLE RISK. THE TOOL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE TOOL WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE TOOL WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HANACV2SQL, ITS PARENT COMPANY CODESKIT, OR THEIR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE TOOL; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE TOOL; (III) ANY CONTENT OBTAINED FROM THE TOOL; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE TOOL SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE LAST SIX (6) MONTHS.

10. Indemnification

You agree to defend, indemnify, and hold harmless HANACV2SQL and its parent company, CODESKIT, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including reasonable attorney's fees) arising from:

• Your use of and access to the Tool.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
• Any User Content you upload or process that violates these Terms.

11. Termination

We may terminate or suspend your account and bar access to the Tool immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Tool will cease immediately, and we will delete your account data, including your stored SQL conversion results, in accordance with our data retention policies.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of [India/Tamilnadu], without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in [Namakkal/Tamilnadu].

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 7 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Tool after those revisions become effective, you agree to be bound by the revised terms.
